Overview

These Terms & Conditions (“Terms”) are presented by FT Imperium Ltd, the operator and service provider of the FundedSeat platform (referred to as the “Provider”, “Company”, “we”, “us”, or “our”), and establish the rules and responsibilities governing your access to and use of the challenges, evaluations, simulated trading environments, and related services (collectively, the “Services”).

The Services are made available primarily through the website www.fundedseat.com (the “Website”).

Cygnus Software Solutions LLC, acting as a payment agent and marketing service provider for FT Imperium Ltd, processes payments in connection with the Services. Cygnus Software Solutions LLC does not provide the Services and is not a contractual counterparty to the Customer.

By accessing the Website, purchasing a challenge, or otherwise using the Services, you (“Customer” or “User”) confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with or do not understand any part of these Terms, you must not use the Services.

These Terms apply to all users of the Website, including browsers, customers, and account holders. The Services are available only to individuals who are at least eighteen (18) years of age and who reside in jurisdictions where the Services are permitted.

II. User Eligibility

• Age Requirement: Users must be at least 18 years old.
• Legal Compliance: Users are responsible for complying with all applicable local laws, including tax reporting obligations.
• Account Integrity: Users may not share login credentials or maintain multiple accounts. Violation may result in termination and forfeiture of fees or rewards.
• Restricted Affiliations: Users may not be owners, employees, or related parties of competing funded trading companies.

III. Services & Subscriptions

• FundedSeat provides evaluation accounts, simulated trading accounts, and educational services.
• All trading activity is conducted in a simulated environment and does not involve live funds.
• Subscriptions renew automatically every thirty (30) days unless canceled prior to renewal. Users are solely responsible for managing cancellations through their account dashboard.

IV. Fees, Refunds & Billing

• No Refund Policy: All fees, including but not limited to evaluation fees, subscriptions, resets, and add-ons, are non-refundable once access to the platform or login credentials have been provided, regardless of:
  • Account failure
  • Disqualification due to rule violations
  • Lack of use
  • User-side technical issues
  • Unmet expectations
• Service Fulfillment: Services are considered fully delivered once platform access is granted.
• Billing Inquiries: Any billing concerns must be submitted to support@fundedseat.com within seven (7) days of purchase.

V. Chargebacks & Payment Disputes

Customers agree to make a good-faith effort to resolve any billing or service dispute directly with FundedSeat before initiating a chargeback or payment dispute with a bank, card issuer, or payment provider.

Initiating a chargeback after Services have been delivered may result in:

• Suspension or termination of the Customer’s account
• Loss of access to all Services
• Forfeiture of unpaid or pending rewards

Nothing in these Terms limits any non-waivable statutory rights available to the Customer under applicable law.

VI. User Conduct & Restrictions

Users must comply with FundedSeat’s trading rules and code of conduct.

Prohibited activities include, but are not limited to:

• Exploiting platform errors, latency, or system vulnerabilities
• Using prohibited trading strategies (including arbitrage, latency abuse, or restricted news trading)
• Trading non-permitted instruments (only CME, COMEX, NYMEX, and CBOT products are permitted)
• Abusive, deceptive, or disrespectful behavior toward staff or other users

Violations may result in immediate termination without refund.

VII. Risk Disclosure

• Trading involves substantial risk and is not suitable for all individuals.
• All results are hypothetical and simulated.
• No profit is guaranteed.
• Past performance does not indicate future results.
• Hypothetical trading has inherent limitations, including the absence of real-world liquidity and execution conditions.
• Users should only use funds they can afford to lose.

VIII. Intellectual Property & Data

• All content, software, trademarks, and materials provided through the FundedSeat platform are the exclusive property of FT Imperium Ltd.
• Unauthorized reproduction, resale, or redistribution is strictly prohibited.

IX. Termination

FT Imperium Ltd may suspend or terminate a Customer’s account for:

• Violations of these Terms
• Fraudulent, abusive, or deceptive activity
• Use of multiple accounts
• Payment disputes or chargebacks

Termination results in:

• Immediate loss of access to all accounts
• Forfeiture of unpaid or pending rewards
• No refund of previously paid fees

X. Limitation of Liability

To the maximum extent permitted by law:
FT Imperium Ltd shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill.
Total liability shall not exceed the fees paid by the Customer in the three (3) months preceding the claim.

XI. Indemnification

The Customer agrees to indemnify, defend, and hold harmless FT Imperium Ltd, its affiliates, service providers, contractors, and partners from any claims, damages, or expenses arising from the Customer’s use of the Services or breach of these Terms.

XII. Dispute Resolution

• Good-Faith Negotiation: Customers must attempt to resolve disputes directly with FundedSeat before pursuing external remedies.
• Arbitration: Unresolved disputes shall be resolved by binding arbitration in Wyoming, United States.
• Class Action Waiver: Customers waive any right to participate in class or representative actions.

XIII. Force Majeure

FT Imperium Ltd shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, internet outages, exchange interruptions, or governmental actions.

XIV. Changes to These Terms

FT Imperium Ltd reserves the right to modify or update these Terms at any time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
